BrassNorth is an independent studio operated by Syed Saad Ur Rahman, based in India ("BrassNorth", "I", "me"). BrassNorth is not a registered company, and all work is carried out by one person.
"You" or "the Client" means the individual or business engaging BrassNorth.

2. How a project starts
1. We discuss what you need, by message or call.
2. I send you a free homepage design, or a design of the main screen for an app or system.
3. If you want to proceed, I send a written project agreement setting out the scope, deliverables, price, payment schedule and timeline.
4. The project begins when you accept that agreement in writing and the first payment clears. Written acceptance includes email or WhatsApp confirmation.
Nothing is binding on either of us before step 4.
3. The free design
The initial design is free and carries no obligation. If you decide not to proceed, you owe nothing and you do not receive the design files. Copyright in that design remains with BrassNorth until a project is agreed and paid for.
I may create a design for a business without being asked, as a demonstration. Such a demonstration is private, is not published, and does not create any agreement or obligation on either side.
4. Fees and payment
India (INR): Starter website from Rs 5,000; Business website from Rs 10,000; apps, systems and custom work quoted after a call; Care plan Rs 1,500 per month; additional revision round Rs 2,500 per round.
International (USD): Landing page from $800; Business website from $2,000; web application or custom system from $5,000; Care plan $99 per month; additional revision round $150 per round.
Prices differ by region because market rates and delivery costs differ. Your project agreement states your price, and that price does not change unless the scope changes under section 5.
Payment schedule. 50% to begin the build after you approve the design, and 50% before the project goes live on your domain. Projects above Rs 40,000 or $1,500 may be split into milestones, agreed in writing before work starts.
Invoices are due within 7 days of issue. If an invoice is more than 7 days overdue, I may pause work. If it is more than 30 days overdue, I may treat the project as cancelled under section 15.
You can pay by UPI, bank transfer or card in India, and by bank transfer or card internationally. Any transfer or conversion fee is yours to cover and I will tell you before you pay. BrassNorth is not currently registered for GST, so no GST is charged on invoices.
5. Scope and changes
Your project agreement lists exactly what is included. Anything not listed is not included. If you ask for work outside that scope, I will explain it, quote it separately, and proceed only after written approval.
6. Revisions
"Revision round" means one consolidated set of changes from you, sent together.
Starter includes 1 round. Business includes 2 rounds. Custom projects are as stated in your agreement.
Fixing something that does not match the approved design or agreed scope is my mistake and is fixed free. Additional rounds are charged at the rate in section 4.
7. What you provide
You provide your logo, photographs, text, prices, timings and other content needed, and confirm you have the legal right to use all of it. You are responsible for the accuracy of everything you supply.
Please give feedback and approvals within 7 days of being asked. Longer gaps move the timeline under section 8.
8. Timelines
Indicative timelines are about 5 to 7 days after design approval for Starter and 2 to 3 weeks for Business. Custom timelines are agreed in writing. The clock starts when all required content is received, not when you pay. Delays caused by content, feedback or approvals extend the timeline by the same period. If you pause a project for more than 30 days, I may reschedule it into my next available slot.
9. Third-party services and their costs
Your website or app may depend on domains, hosting, email, payment gateways, app stores, mapping and search platforms that I do not control. These are registered in your name and billed to you directly unless agreed otherwise. I will tell you expected costs before we start, but I am not responsible for their pricing, availability, policy changes, suspensions or outages.
10. Ownership and intellectual property
Yours after full payment. On receipt of the final payment, the website or application, its design, its custom code, its content, accounts and logins transfer to you.
Before full payment. All work remains the property of BrassNorth. You may review it but not publish, deploy or reuse it.
What does not transfer. I keep ownership of general tools, components, libraries, templates and techniques developed before or outside your project. You receive a permanent, unlimited licence to use those as part of your project, but may not resell or redistribute them on their own.
Open-source libraries, fonts and stock photographs remain under their own licences. Accounts are in your name from the start, and within 7 days of final payment every login and file is transferred to you.
11. Showing your project
I may show your project in my portfolio, social media and proposals, including screenshots and a description. If you would rather I did not, tell me and I will not. I will never publish information marked confidential, customer data or commercial figures without written permission.
12. Confidentiality
Anything you share that is not public, including business plans, pricing, customer information and documents, stays confidential. I will not share it except where the law requires it. This continues after the project ends, and the same applies to anything I share with you about how I work.
13. Data protection
Where I build something that collects personal data from your customers, you are the Data Fiduciary under India's Digital Personal Data Protection Act, 2023, and I act on your instructions as a processor. I only access what is needed to build and support your project, do not use customer data for anything else, and return or delete it on request. Projects handling customer accounts or payments get a separate written data agreement. How I handle your own information is set out in the Privacy Policy.
14. What I guarantee, and what I do not
Design guarantee. You see your homepage design before paying anything. If you do not like it, you owe nothing.
Speed guarantee. Your site will score 90 or above on Google's PageSpeed Insights mobile test on the day I hand it over. If it does not, I keep working on it free until it does. This does not apply after you or another developer add tracking, widgets, embeds, plugins or other changes.
Deadline guarantee. Your project goes live by the date in your agreement. If I miss that date for a reason of mine, your first month on the care plan is free. This does not apply to content, approval, force majeure or third-party delays.
Fix-it-free guarantee. Anything that breaks within 30 days of launch in the work I built is fixed free. It does not cover new features, requested changes, changes made by others or third-party failures.
Handover guarantee. Within 7 days of final payment, every login, file and account is transferred to you. If you ask me to remove my access, I remove it the same working day.
Reply guarantee. You get a reply within one working day, Monday to Saturday, 10 am to 8 pm IST, excluding public holidays in India.
What I do not guarantee. I do not promise more customers, sales, enquiries, specific Google rankings, traffic or any business outcome. I guarantee the work, not the market's response to it.
15. Cancellation and refunds
Before the build starts, you can walk away at any time and owe nothing.
After the build starts, the first 50% is non-refundable and covers work done. You receive everything built up to that point in a usable form.
If I cancel, I refund any payment for work not yet done and hand over everything completed at no charge. The Care plan can be cancelled by either of us with 30 days notice. Fees already paid for the current month are not refunded.
16. Work I will not do
I may decline or stop a project involving illegal activity, misleading or fraudulent claims, content that harms or exploits people, unsubstantiated medical or financial claims, or someone else's brand or content without permission. If I stop for one of these reasons, section 15 applies as if I cancelled.
17. Liability
My total liability for any claim connected to a project is limited to the total fees you have paid me for that project. I am not liable for indirect or consequential losses, failures of third-party services, problems caused by post-handover changes, supplied content, or shared or reused credentials. Nothing limits liability for fraud or anything that cannot be limited by law.
18. Things outside anyone's control
Neither of us is responsible for delays or failures caused by events beyond reasonable control, including internet or power outages, service provider failures, natural events, illness or government action. If this happens, I will tell you promptly and we will agree a revised timeline.
19. If something goes wrong between us
Tell me first. Most problems are a misunderstanding about scope and can be sorted in one conversation. If we cannot resolve it, these terms are governed by the laws of India, and the courts at Hyderabad, Telangana have exclusive jurisdiction. This applies to international clients too.
20. General
Independent contractor. Nothing here creates employment, partnership or agency.
Subcontracting. I do the work personally. If specialist help is needed, I will tell you first and remain responsible for the result.
Assignment. Neither of us can transfer this agreement without written consent, except that you may transfer it if your business is sold.
Changes. The version in force when you accepted your project agreement applies to that project. If part is unenforceable, the rest still applies. These terms and your project agreement are the complete agreement.
